Terms

These terms apply to services Sunny Group B.V. delivers under the name Victoria's Web (including Web.cloud), unless a signed agreement or proposal sets different terms. Specific scope, timing and fees in your proposal or agreement prevail. This text covers business and consumer customers; mandatory consumer rights always apply where the law requires.

Victoria's Web, Victoria's Web.cloud and Web.cloud are brand/service names of Sunny Group B.V.; they are not registered trade names at the Chamber of Commerce (KVK).
Offer: a proposal is non-binding until written acceptance (email counts), unless stated otherwise. After acceptance, the proposal plus these terms form the agreement, plus any separate SLA or schedules.
Performance: we work carefully and in good faith. Deadlines are target dates unless expressly agreed as firm deadlines.
Prices: amounts are in euro. For consumers we state prices including VAT; for business customers excluding VAT. VAT is always shown separately on the invoice. We invoice per the proposal or subscription schedule (one-off, milestones or periodic).
Payment term: invoices are payable within the term stated on the invoice. Consumers: 7 days from the invoice date as standard. Business customers: 14 days from the invoice date. A different term on the invoice or in the agreement prevails.
Reminders for consumers: if you do not pay on time, we first send a friendly reminder. If payment is still outstanding, we send a formal demand letter giving 14 days to pay, counted from the day after receipt. That letter states the outstanding amount, statutory interest from the due date and extrajudicial collection costs under the Dutch Decree on compensation for extrajudicial collection costs (minimum €40), with the concrete amount. We only charge that interest and those costs once that period has also expired unused.
Business customers: if you do not pay within the payment term, you are in default without further notice of default. From the day after the due date you owe statutory commercial interest (art. 6:119a Dutch Civil Code). After a reminder with a 14-day payment term from the date of the letter, we may also charge reasonable extrajudicial collection costs under the scale in the Decree on compensation for extrajudicial collection costs (minimum €40).
Suspension: after notice we may (temporarily) suspend or limit services until payment is received, to the extent permitted by law. For consumers we respect mandatory consumer law.
Ongoing subscriptions (hosting, managed technology and similar): run per calendar month or the agreed period unless stated otherwise. You may cancel monthly effective end of the current month by emailing [email protected], unless the agreement sets another notice period. Periods already invoiced remain due.
Domain names: we register or renew a domain name per year and invoice in advance per registration year. Without cancellation we renew the domain automatically for one year. If you do not want to renew or want to transfer, email [email protected] no later than 1 month before the renewal date. We do not refund a registration year that has already started, because the registration costs have already been incurred. If you are a consumer, after an automatic renewal you may always cancel with one month's notice. The domain remains yours; on a transfer we provide the transfer code.
Cooling-off for consumers: if you are a consumer and the contract was concluded at a distance (for example online or by email without an in-person office visit), you generally have 14 days to withdraw. If you expressly asked us to start during that period, you may lose the right of withdrawal for the part already performed and may owe a proportionate amount. Digital content supplied with your prior consent may fall outside withdrawal. We state this in the proposal or at order when relevant. Withdraw by writing or email to [email protected].
Changes: scope changes after acceptance are agreed in advance and may change price or timeline.
IP: you keep ownership of your content, brands and data. Rights in deliverables we create transfer as set in the proposal or agreement; without a separate deal you receive a non-exclusive right to use them for the agreed purpose. Our tools, templates and know-how remain Sunny Group B.V.'s.
Third parties: where we use or pass through third-party services, those providers' terms also apply. We are not liable for outages or policy changes of third parties beyond our reasonable control.
Liability: capped at the fees you paid us for the relevant engagement in the twelve months before the event (excluding pass-through third-party costs), except for intent or gross negligence. Indirect loss is excluded to the extent permitted by law. For consumers, mandatory rights override this limit where required.
Ending and offboarding: on ending we help with a reasonable hand-over of what is yours, at the agreed or customary fee for hand-over work.

Complaints: see the complaints page. Disputes: Dutch law. Courts of Noord-Holland (Alkmaar) unless mandatory law (including consumer law) requires another forum.
Version: 8 October 2026. We may update these terms; for ongoing work the version at acceptance applies unless we expressly agree a change.
