1. Definitions

In these General Terms and Conditions, the following terms have the meanings set forth below:

  • “Agency” or “Victoria's Web” or “We”: Victoria's Gestión B.V., a Dutch private limited company registered in the Netherlands.
  • “Client” or “You”: Any individual, company, or organisation that engages Victoria's Web for services.
  • “Services”: All creative, design, development, marketing, hosting, and related digital services provided by Victoria's Web, including but not limited to branding, web design, web development, graphic design, social media management, and digital marketing.
  • “Deliverables”: The final approved work products provided to the Client as specified in the project proposal or agreement.
  • “Project Scope”: The specific services, deliverables, timelines, and budget outlined in the written proposal, quote, or contract agreed upon by both parties.
  • “Agreement”: The contractual relationship between Victoria's Web and the Client, consisting of the project proposal, quote, and these General Terms and Conditions.

2. Applicability

2.1. These General Terms and Conditions apply to all offers, quotations, agreements, and services provided by Victoria's Web, unless explicitly agreed otherwise in writing.

2.2. By accepting a quote, signing a contract, making a deposit payment, or otherwise engaging Victoria's Web's services, the Client agrees to be bound by these General Terms and Conditions.

2.3. Any terms and conditions proposed by the Client are expressly rejected unless explicitly accepted by Victoria's Web in writing.

2.4. Victoria's Web reserves the right to amend these General Terms and Conditions at any time. Amendments will be communicated to active Clients and will apply to future projects.

3. Quotes and Project Scope

3.1. All quotes and proposals provided by Victoria's Web are valid for 30 days from the date of issue unless otherwise stated.

3.2. Quotes are based on the information provided by the Client at the time of request. Any changes to the project scope, requirements, or deliverables may result in adjusted pricing and timelines.

3.3. Victoria's Web reserves the right to revise quotes if the Client's requirements change after initial acceptance.

3.4. Unless explicitly stated otherwise, quotes do not include:

  • Stock photography, premium fonts, or third-party licences (these will be quoted separately or procured by the Client).
  • Copywriting or content creation beyond what is specified.
  • Ongoing hosting, maintenance, or support (available separately through Victoria's Cloud).
  • Domain registration or SSL certificates (unless included in the quote).

4. Payment Terms

4.1 Payment Structure

  • Projects under €3,000: 50 percent deposit required to commence work, and 50 percent due upon delivery of final deliverables.
  • Projects €3,000 and above: 33 percent deposit required to commence work, 33 percent due upon design approval, and 34 percent due upon final delivery or project launch.
  • Retainer-based services: Monthly invoices issued at the beginning of each billing cycle, with payment due within seven days of invoice date.

4.2 Ownership and File Release

4.2.1. Victoria's Web retains full ownership of all work, concepts, designs, and files until final payment has been received in full.

4.2.2. Final deliverables will not be released, and intellectual property rights will not be transferred, until all outstanding invoices are paid.

4.3. All payments must be made in euros (EUR) unless otherwise agreed in writing.

4.4. Invoices are payable within 14 days of the invoice date unless otherwise specified.

4.5. Late payments will incur a penalty of 1.5 percent per month on the outstanding balance, plus any collection costs incurred by Victoria's Web.

4.6. Victoria's Web reserves the right to suspend or terminate services if payments are overdue by more than 30 days.

4.7. Deposits are non-refundable once work has commenced, except in cases where Victoria's Web is unable to fulfil the agreed services.

5. Revisions and Scope Changes

5.1. Unlimited revisions are included within the agreed project scope. This means reasonable adjustments, refinements, and feedback-based changes to the work as originally defined.

5.2. Revisions that fall outside the original project scope, including adding new pages or features, requesting entirely new design directions, significant structural changes, or additional revision rounds after completion, will be quoted separately at our hourly rate and require Client approval.

5.3. Victoria's Web reserves the right to determine when revisions exceed reasonable scope and to provide a revised quote for additional work.

5.4. Revisions must be provided in writing (email or project management platform). Verbal or informal feedback may not be actioned without written confirmation.

6. Project Timelines

6.1. Project timelines are estimated on a case-by-case basis and outlined in the project proposal or agreement.

6.2. Timelines depend on timely provision of content, materials, and feedback by the Client, timely payment of invoices, and third-party availability.

6.3. Delays caused by the Client (late feedback, content delays, or payment delays) may result in revised timelines and additional fees.

6.4. Victoria's Web will make reasonable efforts to meet agreed deadlines but cannot be held liable for delays caused by circumstances beyond our control (see Section 15).

6.5. Projects that remain inactive for more than 60 consecutive days due to lack of Client response will be considered abandoned. Deposits will be forfeited and any work completed remains the property of Victoria's Web until a new agreement is reached.

7. Intellectual Property Rights

7.1 Ownership Before Final Payment

7.1.1. All concepts, designs, code, content, and materials created by Victoria's Web remain the exclusive property of Victoria's Web until final payment has been received in full.

7.1.2. The Client may not use, reproduce, distribute, or display any work created by Victoria's Web until full payment is completed.

7.2 Transfer of Rights Upon Payment

7.2.1. Upon receipt of full and final payment, Victoria's Web transfers to the Client ownership of the final approved deliverables as specified in the project agreement and the right to use, modify, reproduce, and distribute them for business purposes.

7.2.2. This transfer includes final logo designs, brand assets, website designs (HTML/CSS front-end code), and final creative content.

7.3 Exclusions from IP Transfer

7.3.1. Unused concepts, drafts, work-in-progress materials, source files (such as Adobe PSD, Illustrator AI, Figma files), proprietary code, frameworks, templates, tools, and third-party assets are not transferred unless explicitly agreed in writing. The Client is responsible for obtaining third-party licences or reimbursing Victoria's Web.

7.3.2. Source files must be negotiated and agreed in writing before project commencement.

7.4 Third-Party Intellectual Property

7.4.1. When third-party assets are used, Victoria's Web will identify them. The Client is responsible for appropriate licences, or Victoria's Web will arrange them at the Client's expense.

7.4.2. The Client warrants that provided materials do not infringe third-party rights and agrees to indemnify Victoria's Web against related claims or costs.

8. Portfolio and Promotional Use

Victoria's Web reserves the right to display completed projects in our portfolio, on our website, in case studies, on social media, and in promotional materials, unless the Client explicitly requests exclusion in writing.

9. Client Responsibilities

The Client agrees to provide necessary content, materials, images, and assets in a timely manner; give clear written feedback and approvals within agreed timelines; ensure all provided content is accurate, legally compliant, and does not infringe third-party rights; and make payments according to the agreed schedule.

10. Subcontractors and Third-Party Professionals

10.1 Right to Engage Subcontractors

10.1.1. Victoria's Web may engage qualified subcontractors, freelancers, and third-party professionals, including designers, developers, copywriters, social media specialists, SEO experts, and other specialists.

10.1.2. The decision to use subcontractors is at the sole discretion of Victoria's Web. Client approval is not required.

10.1.3. All subcontractors are vetted to ensure they meet our quality standards.

10.2 Victoria's Web Responsibility

10.2.1. Victoria's Web remains fully responsible for all work performed by subcontractors as if it were performed directly by Victoria's Web.

10.2.2. All subcontractor deliverables are reviewed, quality-checked, and approved before being presented to the Client.

10.2.3. The contractual relationship is exclusively between the Client and Victoria's Web.

10.2.4. Any issues or feedback regarding subcontractor work must be directed to Victoria's Web.

10.3 Confidentiality and Data Protection

10.3.1 Directly engaged subcontractors: are bound by non-disclosure agreements, data processing agreements (GDPR/AVG compliant), and work agreements and are prohibited from using client data for any other purpose.

10.3.2 Platform-based subcontractors: may be engaged via reputable freelance platforms that enforce their own terms, privacy policies, and data protection practices. Only the minimum information necessary is shared.

10.3.3 Data minimisation: Subcontractors receive only the information strictly necessary to complete their tasks, and sensitive data is shared only when absolutely required with appropriate safeguards.

10.4 Intellectual Property

10.4.1. Work created by subcontractors is treated as work-for-hire or contractually assigned to Victoria's Web.

10.4.2. Intellectual property rights are transferred to Victoria's Web and subsequently to the Client upon final payment.

10.4.3. Subcontractors have no claim to intellectual property rights in the final deliverables.

10.5 Quality and Standards

10.5.1. Subcontractors must adhere to Victoria's Web quality standards, brand guidelines, and professional conduct requirements.

10.5.2. Victoria's Web provides direction, oversight, and quality control.

10.5.3. Work that does not meet our standards will be revised or redone at no additional cost to the Client.

11. Website Hosting and Maintenance

11.1. Victoria's Web offers optional hosting and maintenance packages through Victoria's Cloud.

11.2. Hosting and maintenance services are not included in standard quotes unless explicitly stated.

11.3. Rates, terms, and service level agreements for hosting and maintenance are defined in separate agreements.

11.4. If the Client hosts with a third party, Victoria's Web is not responsible for server issues, downtime, performance problems, compatibility, or security vulnerabilities.

11.5. Victoria's Web will provide reasonable support with third-party hosting setup, but additional technical troubleshooting beyond scope may incur hourly charges.

12. Testing and Browser Compatibility

12.1. All websites and digital products are tested on modern desktop browsers (Chrome, Firefox, Safari, Edge - latest two versions) and mobile devices (iOS and Android - latest two major versions).

12.2. Additional testing requirements for legacy browsers or specific devices must be requested in advance and may incur additional costs.

12.3. Victoria's Web does not guarantee pixel-perfect rendering on outdated or unsupported browsers.

13. Confidentiality

13.1. Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project.

13.2. Victoria's Web will not disclose Client information to third parties except where necessary for project completion or required by law.

13.3. This obligation does not apply to information that is publicly available, already known, or independently developed without reference to confidential information.

14. Termination and Cancellation

13.1 Termination by Client

13.1.1. The Client may terminate the project at any time by providing written notice to Victoria's Web.

13.1.2. Upon termination, deposits are non-refundable, the Client is invoiced for all work completed to date, and deliverables are released only after full payment.

13.2 Termination by Victoria's Web

13.2.1. Victoria's Web may terminate the agreement if the Client fails to make timely payments, breaches the agreement, or behaves in an abusive, threatening, or unprofessional manner.

13.2.2. The Client will be invoiced for work completed to date, and any unused deposit may be refunded at Victoria's Web's discretion.

13.3 Project Abandonment

13.3.1. Projects inactive for 60 consecutive days due to lack of communication, feedback, or payment are considered abandoned. Deposits are forfeited, Victoria's Web retains ownership of all work, and restarting the project requires a new agreement, deposit, and updated pricing.

15. Liability and Indemnification

14.1 Limitation of Liability

14.1.1. Victoria's Web's liability under this agreement is limited to the total amount paid by the Client for the specific project.

14.1.2. Victoria's Web is not liable for indirect, incidental, or consequential damages; loss of profits or opportunities; damages caused by third-party services; or damages arising from Client-supplied content or materials.

14.2 Client Indemnification

14.2.1. The Client agrees to indemnify and hold Victoria's Web harmless from claims, damages, or costs arising from Client-supplied content, defamatory or illegal materials, or misuse of deliverables.

14.3 Warranty Disclaimer

14.3.1. Victoria's Web provides services on an “as-is” basis and makes no warranties regarding uninterrupted or error-free operation, fitness for a particular purpose, or compatibility with future technologies.

14.3.2. Victoria's Web will make reasonable efforts to correct reported errors within 30 days of delivery if directly caused by Victoria's Web's work.

16. Force Majeure

15.1. Victoria's Web shall not be held liable for delays or failure to perform services due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, internet or server outages, strikes, supply chain disruptions, or cyber-attacks.

15.2. In such events, Victoria's Web will notify the Client as soon as reasonably possible and make reasonable efforts to resume services.

17. Disputes and Governing Law

16.1. These General Terms and Conditions and any agreement between Victoria's Web and the Client are governed by Dutch law.

16.2. Disputes are subject to the exclusive jurisdiction of the competent courts in Noord-Holland, Netherlands.

16.3. Both parties agree to attempt to resolve disputes amicably through negotiation before pursuing legal action.

18. General Provisions

17.1. These General Terms and Conditions, together with any signed proposal, quote, or contract, constitute the entire agreement between Victoria's Web and the Client.

17.2. No verbal agreements or informal communications alter this agreement unless confirmed in writing and signed by both parties.

17.3. If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

17.4. The Client may not assign this agreement without prior written consent. Victoria's Web may subcontract services while maintaining overall responsibility.

17.5. Failure by Victoria's Web to enforce any right does not constitute a waiver of that right.
